Uptime commitment
Company will make commercially reasonable efforts to ensure that the Services shall be in working order and available to Customer 99.9% of the time each month and that all scheduled maintenance of the Services shall be conducted upon 24-hours prior written notice that the Services will be unavailable ("Approved Services Suspension").
Subject to any Exclusion listed below, in the event that any suspension takes place outside of the Approved Services Suspension periods, upon written notice, Company shall credit Customer's account for any downtime incurred outside of the Approved Services Suspension period.
Exclusions
"Exclusion" means the following:
- Any unavailability caused by circumstances beyond Company's reasonable control, including without limitation, acts of God, acts of government, acts of third-party dependencies, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems (other than those involving Company employees).
- Any unavailability caused by unavailability or other failure of Customer's system.
Service credits
Service credits are calculated as a percentage of the monthly fee based on the measured monthly uptime, as follows:
